Terms & Conditions
The terms that apply when you use the DigiLifto website and when you engage us for our services.
- No guaranteed outcomes
- Genuine signals only
- Governed by Indian law
01About these terms
These Terms & Conditions ("Terms") are between you and DigiLifto, a sole proprietorship registered in India (GSTIN: 07CMMPN0346Q1ZF), with its principal place of business at 808B, DLF Prime Tower, Pocket F, Okhla Industrial Estate, Okhla Phase I, New Delhi, Delhi 110020 ("DigiLifto", "we", "us" or "our").
They apply to your use of digilifto.in (the "Website") and form part of any engagement for our services, together with the proposal, statement of work or agreement for that engagement (a "Proposal"). If a Proposal conflicts with these Terms, the Proposal prevails for that engagement.
By using the Website or engaging our services, you agree to these Terms. If you're accepting them on behalf of a company, you confirm you're authorised to do so.
02Our services
DigiLifto provides reputation services, including App Reputation Management, Positive Seeding and Digital Online Reputation Management. The exact scope, deliverables, platforms, timelines and fees for each engagement are set out in the Proposal.
Information on the Website describes our services in general terms and isn't an offer. Any examples, illustrations or sample visuals are for illustration only.
03How we work: genuine signals only
We carry out our services using genuine customer experiences and within the published guidelines of each platform. We do not provide, and you agree not to ask us to provide:
- fake, fabricated or incentivised reviews, ratings or testimonials;
- fake accounts, bots or automated engagement;
- pressure or intimidation of genuine reviewers; or
- any activity that is unlawful, misleading, or breaches a platform's rules.
We may decline or stop any activity that we reasonably believe would breach this section, applicable law or platform guidelines.
04No guaranteed outcomes
Ratings, reviews, search results, sentiment and platform behaviour depend on many factors outside our control — including your product, customer experience, review volume and each platform's own systems and decisions.
Objectives and targets are agreed in good faith in the Proposal, but we do not guarantee any specific rating, ranking, removal, sentiment level or result. Case studies and past results describe specific engagements and don't predict future outcomes.
05Your responsibilities
- Provide accurate information, timely approvals and any access reasonably needed to deliver the services.
- Make sure any content, materials or data you give us is lawful and that you have the rights to share it.
- Remain responsible for your products, services, customer communications and compliance with laws and platform rules that apply to your business.
- Keep any account credentials you share with us secure, and tell us promptly if access should change.
06Fees, taxes and payment
- Fees, billing frequency and payment terms are set out in the Proposal.
- Unless stated otherwise, fees are exclusive of GST, which will be charged at the applicable rate.
- Invoices are payable within the period stated in the Proposal. We may pause services if invoices remain unpaid after reasonable notice.
- Fees paid for work already performed are non-refundable, unless the Proposal says otherwise.
07Term and termination
Each engagement runs for the period set out in the Proposal. Monthly maintenance continues month to month until either party ends it with the notice period stated in the Proposal (or, if none is stated, 30 days' written notice).
Either party may end an engagement immediately by written notice if the other materially breaches these Terms or the Proposal and doesn't fix the breach within 15 days of being told about it. You'll pay for services delivered up to the end date.
08Intellectual property
- The Website, its design, text, graphics and code belong to DigiLifto or its licensors. You may view and share pages for personal or internal business use, but may not copy, modify or republish them without our permission.
- You keep ownership of your brand, content and data. You give us a limited licence to use them only to deliver the services.
- On full payment, you may use the reports and deliverables we prepare for you for your internal business purposes. We keep ownership of our methods, frameworks, templates and know-how.
- Third-party names, logos and trademarks on the Website — including those of platforms such as Google, Apple, Meta, YouTube and X — belong to their owners. DigiLifto is not affiliated with or endorsed by these platforms.
09Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the engagement, except where disclosure is required by law. This obligation continues for two years after the engagement ends.
We may name you as a client and show your logo only with your permission. We'll only publish results that you've approved for publication.
10Limitation of liability
To the maximum extent permitted by law:
- the Website is provided "as is", and we don't warrant that it will be uninterrupted or error-free;
- neither party is liable for indirect, incidental or consequential losses, or for loss of profit, revenue or goodwill; and
- our total liability arising from an engagement is limited to the fees you paid us for that engagement in the three months before the claim arose.
Nothing in these Terms limits liability that can't be limited by law, including for fraud.
11Indemnity
You agree to indemnify DigiLifto against claims, losses and costs arising from content or materials you provide, or from your breach of these Terms or applicable law. We agree to indemnify you against claims arising from our breach of the "Genuine signals only" section.
12Third-party platforms
Our services involve platforms we don't control. Platforms may change their features, policies or algorithms, or take action on content and accounts at their discretion. We aren't responsible for platform decisions, outages or changes, though we'll work with you to adapt where we reasonably can.
13Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussion. If it isn't resolved within 30 days, the courts at New Delhi, India will have exclusive jurisdiction.
14General
- Changes: we may update these Terms from time to time. The version in force when a Proposal is signed applies to that engagement, unless both parties agree otherwise.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
- Entire agreement: these Terms and the Proposal are the entire agreement for an engagement.
- Severability: if any part of these Terms is found unenforceable, the rest remains in effect.
- Notices: notices must be in writing and may be sent by email to the addresses the parties have shared.
